Terms of Service

1. Acceptance of Terms

By accessing or using Spendplane ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Spendplane is an AI execution and cost optimization platform that provides:

• AI model routing and orchestration through multiple providers
• Spend-aware execution with budget controls and alerts
• Context truncation and cost optimization features
• Team collaboration and workspace management tools
• Analytics, reporting, and forecast accuracy credits

We act as an infrastructure layer that routes your AI requests to appropriate providers (OpenRouter, RunPod, Vast.ai, etc.) based on your configured preferences. You are responsible for the content of your requests and compliance with upstream provider terms.

3. Accounts and Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Billing and Payments

4.1 Subscription Plans

We offer various flat-rate subscription plans with different features and pricing. Provider costs are passed through at-par with no percentage markup. All prices are shown in USD unless otherwise specified. Taxes may be added where applicable.

4.2 Multi-Year Infrastructure Lock Plans

Multi-year plans (3-Year and 5-Year) are one-time payments that extend your subscription access for the specified period. These plans provide price protection—your rate will not increase during the committed period. Multi-year payments are non-refundable except as explicitly stated in Section 5.

4.3 Payment Processing

Payments are processed through Stripe. By providing payment information, you represent that you are authorized to use the payment method and agree to charge the applicable fees. All payments are final unless otherwise provided.

4.4 Usage Credits

Some plans include usage credits that can be applied toward provider costs (OpenRouter, RunPod, etc.). Unused credits do not roll over unless explicitly stated. Credits have no cash value and are non-refundable.

5. Refunds and Cancellations

5.1 Subscription Cancellations

You may cancel your subscription at any time through the Stripe customer portal or by contacting support. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

5.2 Multi-Year Plan Refunds

Multi-year infrastructure lock plans are eligible for a prorated refund if you cancel within 30 days of purchase, minus a $100 administrative fee. After 30 days, these payments are final and non-refundable.

5.3 Discretionary Refunds

We may, at our sole discretion, issue refunds or credits in exceptional circumstances. Such decisions are final and do not establish a precedent.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Transmit harmful code, malware, or spam
• Attempt to gain unauthorized access to our systems or networks
• Resell or redistribute API access in violation of upstream provider terms
• Generate content that is illegal, harmful, or abusive
• Impersonate any person or entity

We reserve the right to suspend or terminate accounts that violate these acceptable use policies.

7. Upstream Provider Terms

The Service routes your requests to third-party AI providers (OpenRouter, RunPod, Vast.ai, etc.). You are responsible for complying with the terms of service of these providers. We reserve the right to restrict or disable features that violate upstream provider policies. Your use of specific models may be subject to additional provider-imposed restrictions.

8. Service Level and Disclaimer

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free operation. We are not liable for any damages arising from your use of the Service, including but not limited to:

• Service interruptions or outages
• Inaccurate cost estimates or billing
• Provider rate changes or service discontinuations
• Data loss or corruption

To the maximum extent permitted by law, our total liability shall not exceed the amount you paid us in the past 12 months.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Spendplane and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit to the Service. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to the data practices described in the Privacy Policy.

10.1 Audit Rights

Enterprise customers may request audit logs showing model selection history, timestamps, and cost breakdowns by provider.

11. Modifications to Service and Terms

We reserve the right to:

• Modify or discontinue the Service at any time
• Update these Terms from time to time
• Change pricing with 30 days notice for existing subscribers

Continued use after changes constitutes acceptance of modified Terms. We will notify users of material changes via email or in-app notification.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spendplane operates, without regard to its conflict of law provisions.
